1.Purpose and Scope
1.1 These General Terms and Conditions govern all services provided by Apricity Consulting GmbH to its clients unless otherwise mandatorily
prescribed by law.
1.2 By placing an order, the client acknowledges and accepts these General Terms and Conditions of Apricity Consulting GmbH, which form an
integral part of all quotations and order confirmations by XX. They take precedence over any general terms and conditions of the client.
1.3 Apricity Consulting GmbH reserves the right to modify these Terms and Conditions at any time, with the current version published at
www.apricityconsulting.ch becoming effective upon its publication.
2. Contract Content, Formation, and Scope of Services
2.1 The specific content, scope, and execution of the services to be provided are determined by the issued order, which is typically
agreed upon in writing. The services focus on the agreed-upon activities and do not guarantee specific economic outcomes.
Therefore, Apricity Consulting GmbH cannot guarantee outcomes in the form of expectations, forecasts, or recommendations. Time frames are intended
as general goals unless expressly agreed as binding commitments.
2.2 Apricity Consulting GmbH is entitled to engage employees, expert consultants, companies, and institutions in the execution of the order,
acting on behalf and for the account of Apricity Consulting GmbH.
3. Client Cooperation
3.1 The client is obliged to provide Apricity Consulting GmbH, without special request and in a timely manner, with all information and
documents necessary for the proper performance of services. Apricity Consulting GmbH assumes the completeness and accuracy of the
provided data and instructions unless a verification has been agreed upon in writing beforehand.
4. Exchange of Information
4.1 Both parties commit to confidentiality regarding all confidential information acquired in the course or in connection with the
performance of services under the contract. Confidential information encompasses all data that is not publicly known or accessible.
Disclosure of such information to third parties is permitted only if they are similarly obligated to confidentiality. The obligation of
confidentiality persists beyond the termination of the contract.
4.2 For their communications, both parties may use electronic media such as telephone, fax, and email. Each party is responsible
for ensuring the secure transmission and receipt of data, including the detection of content or technical defects.
4.3 Apricity Consulting GmbH may process the information received, including personal data of clients, using computer technology or through
third parties, ensuring confidentiality by all involved under the data protection regulations.
5. Rights to Work Results
5.1 All rights to documents, products, or other work results created in the course of fulfilling the contract, as well as the developed
or used know-how, exclusively belong to Apricity Consulting GmbH, regardless of any collaboration with the client. Apricity Consulting GmbH
grants the client a non-exclusive and non-transferable right to use the provided documents, products, and other work results, including the
respective know-how, for their own use indefinitely. The distribution of documents, products, and other work results, or parts thereof, to third
parties by the client is only allowed with the explicit written consent of Apricity Consulting GmbH. The client is prohibited from altering any
documents, especially binding reports, provided by Apricity Consulting GmbH.
6. Deliveries from Apricity Consulting GmbH
6.1Deliveries are deemed made when sent to the last known address of the client or held according to their instructions.
7. Fees, Expenses, Payment Terms
7.1 Fees are individually agreed upon based on the contract. If not otherwise specified, fees correspond to industry-standard
rates, with travel time considered working time. In addition to the fee claim, Apricity Consulting GmbH is entitled to reimbursement for
incurred expenses and third-party fees. The client commits to directly settle the fee claims and incurred expenses of third parties used by
Apricity Consulting GmbH upon request.
7.2 Apricity Consulting GmbH may request reasonable advances on fees and expenses and issue interim invoices for services and expenses
already provided.
7.3 The client's right to offset is excluded.
7.4 Invoices and expense statements are payable within 20 days to the account specified by Apricity Consulting GmbH. Late payments incur additional reminder fees. From the due date, interest on arrears will be charged at 5%.
8. Complaints, Liability, and Force Majeure
8.1 Complaints regarding the order must be reported immediately to allow Apricity Consulting GmbH to make corrections.
8.2 Apricity Consulting GmbH is liable to the client only for intentional misconduct and gross negligence. The client must prove the occurrence
of intentional misconduct or gross negligence.
8.3 This limitation of liability also applies to all persons whom Apricity Consulting GmbH has legitimately delegated the execution of tasks.
8.4 In the case of substitution, Apricity Consulting GmbH’s liability is limited to the proper selection, instruction, and supervision of the third
party.
8.5 Apricity Consulting GmbH disclaims all liability for damages resulting from transmission errors, technical defects, interruptions, or
interventions in the facilities of network operators in email communication.
8.6 Liability limitations also apply to the selection of IT programs and applications (e.g., cloud solutions) used by Apricity Consulting GmbH.
8.7 In case of damage, Apricity Consulting GmbH’s liability is limited to three times the annual fee paid. This also applies in the case of substitution.
8.8 In the event of force majeure, the affected party is not liable for non-fulfillment of contractual obligations and is released from
its obligations as long as and to the extent that the force majeure persists. If the force majeure ceases, contractual rights and
obligations resume unless the force majeure lasts more than one year, in which case the unaffected party is entitled, but not
obliged, to terminate the contract with written notice.
9. Termination of Contract
9.1 The contract ends upon completion of the agreed services, expiration of the agreed term, or termination as per section
9.2.Either party may terminate the contract at any time in writing, effective immediately or on a specified date. In the event of
termination, the client must pay for services rendered up to the point of termination based on actual hours worked and
applicable rates, plus incurred expenses. If termination occurs at an inconvenient time, the terminating party must compensate
the other party for any resulting damage, in addition to the fee claim based on actual hours worked and applicable rates, plus
incurred expenses. In the case of extraordinary termination due to one party's breach of contract, that party must compensate
the terminating party for any resulting damage, in addition to the fee claim based on actual hours worked and applicable rates,
plus incurred expenses.
9.3 If the client is a natural person, the contract does not expire upon their death, declaration of absence, or incapacity. If the
client enters bankruptcy or a similar procedure is initiated, the contract only expires after termination or cancellation by Apricity Consulting GmbH or the competent authorities.
10. Retention and Handover of Work Results and Documents
Subject to longer statutory periods, Apricity Consulting GmbH is obliged to retain documents for 10 years after the end of the contract. This obligation expires before the end of this period if Apricity Consulting GmbH has requested the client to collect the documents and the client has not complied within 6 months of receiving the request.
11. Applicable Law and Jurisdiction
11.1 This contract is governed by Swiss law.
11.2 The exclusive place of performance for both parties' obligations and the exclusive jurisdiction for all types of proceedings is
the Municipality of Baar, ZG, where Apricity Consulting GmbH was commissioned to execute the mandate. However, Apricity Consulting GmbH also reserves the right to sue the client at the competent court of their residence/seat or any other competent court.
12. Validity
Clause Should any of these clauses be declared invalid, the remaining provisions of these General Terms and Conditions remain unaffected. The invalid provisions are to be replaced by economically equivalent, lawful provisions.
